Device Purchase Form

Pursuant to Entrupy’s updated Terms of Service, Entrupy will no longer be offering hardware as a service, including the lease of any physical devices as well as any related peripherals (e.g., chargers) (“Hardware”) in connection with its authentication services. The authentication services previously provided to you (“Customer”) through Entrupy-supplied Hardware are now capable of being hosted on your own devices.

As part of this transition, Entrupy is offering each Customer two options with respect to each item of Hardware currently in your possession: (a) purchase the Hardware from Entrupy; or (b) return the Hardware to Entrupy.

You must indicate your election for each item of Hardware by completing either the Device Return Form or Device Purchase Form no later than June 30, 2026 (the "Election Deadline"). If Entrupy does not receive a completed Device Return Form or Device Purchase Form by the Election Deadline, Customer will be deemed to have elected to purchase all Hardware currently in Customer's possession that remains subject to this transition process, and Entrupy may assess and invoice Customer a purchase fee of one hundred ($100) U.S. dollars per item of Hardware without further notice.

1. Purchase Election Fee

If you elect to purchase one or more of the items of Hardware currently in your possession from Entrupy, a one-time fee of one hundred ($100) U.S. dollars per piece of Hardware (“Purchase Fee”) will be assessed and become due and payable upon submission of this Form. You acknowledge and agree that title to any item of Hardware that you have elected to purchase shall pass to you only upon Entrupy’s receipt of payment in full of the purchase price for such Hardware. Until Entrupy has received payment in full of the purchase price, title to the Hardware shall remain with Entrupy, and you shall have no ownership interest in the Hardware.

2. As-Is Transfer; Disclaimer of Warranties

Any item of Hardware purchased by Customer pursuant to this Form is transferred on an “AS-IS, WHERE-IS” basis. ENTRUPY MAKES NO WARRANTIES OF ANY KIND WITH RESPECT TO THE HARDWARE, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. Entrupy makes no representations or warranties regarding the Hardware’s remaining useful life, condition, functionality, compatibility with any software (including future versions of Entrupy’s system), or suitability for any purpose.

3. Post-Sale Limitations; Release.

Upon transfer of title to any item of Hardware: (a) all risk of loss with respect to such Hardware shall pass to Customer; (b) Entrupy shall have no obligation to maintain, repair, replace, support, or service the Hardware; (c) Customer assumes sole responsibility for the Hardware’s condition, functionality, and compliance with any applicable laws or regulations; and (d) Entrupy shall have no liability for any loss, damage, cost, or expense arising from the Hardware’s performance, condition, or failure following the transfer date. Customer hereby releases Entrupy, its officers, directors, employees, and agents from any and all claims, demands, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to the Hardware following the date of ownership transfer.

4. iPod Touch Devices

Notwithstanding the foregoing, any item of Hardware that is an Apple iPod Touch device is not eligible for purchase and, unless instructed specifically by Entrupy to retain any Apple iPod Touch devices, you must return any such devices to Entrupy in accordance with the Device Return Form. Any purchase election for an iPod Touch device through this Form will be deemed void.

5. Customer Certification

By submitting this Form, the undersigned, on behalf of Customer, certifies that the information set forth in this Form (including all Hardware information and serial numbers provided) is true, complete, and accurate, and that the undersigned has full authority to make the elections and attestations stated in this Form on behalf of Customer. Customer further certifies that the Hardware serial numbers submitted in this Form accurately identify the Hardware subject to this purchase election.
